Shorelight Cash

Effective Date & Parties

Effective upon electronic acceptance between Shorelight Capital Blockchain Holdings LLC, a Delaware limited liability company (“Company”), and the accepting individual or entity (“Contractor”). The Platform is branded as Shorelight Cash.

1. Relationship, Non-Exclusivity & Assignment

• Independent contractor; not an employee, agent, partner, or joint venturer.
• Non-exclusive; Contractor may work elsewhere and Company may engage others.
• No subcontracting or assignment of orders without Company consent.

2. Services, Acceptance & Proof of Delivery

• On-demand delivery, courier, and marketplace fulfillment via the Shorelight Cash Platform.
• Contractor may accept/reject offers; acceptance creates a duty to complete safely and timely.
• Proof-of-delivery may include PIN, photo, signature, or geotag verification.

3. Compensation, Tips & Adjustments

• Per-order pay displayed before acceptance; promotions/bonuses at Company discretion.
• Payout in SLC tokens or USD via approved methods; network/processing fees may apply.
• Customer tips belong to Contractor (pass-through less applicable fees, if any).
• Company may offset amounts for chargebacks, fraud, or documented customer resolution credits.

4. Taxes, KYC & Reporting

• Contractor is responsible for taxes and filings; provide W-9/KYC as requested.

5. Equipment, Expenses & Insurance

• Contractor supplies vehicle, smartphone, data plan, PPE, and tools.
• Contractor pays all expenses (fuel, maintenance, tolls, parking).
• Maintain required auto and/or general liability insurance as required by law.

6. Safety, Compliance & Prohibited Items

• Follow traffic, parking, food safety, and local delivery laws.
• No delivery of prohibited or restricted goods without authorization (see Platform Use Policy).

7. Background Checks & Verification

• Identity/DMV/background checks may be required where permitted; ongoing eligibility checks may occur.

8. Scheduling; No Minimums or Guarantees

• Contractor controls schedule; Company does not guarantee offers or earnings.

9. Suspension & Termination

• Either party may terminate at any time with or without cause via Platform notice or other means.
• Company may suspend for safety risks, fraud, or policy violations.

10. Confidentiality & Brand

• Keep non-public Company/customer/vendor info confidential.
• Use names/logos only as shown in Platform UI; no independent marketing implying affiliation.

11. Digital Assets & Risk Disclosure

• SLC payouts may involve blockchain fees, delays, and price volatility; Contractor manages wallet security.

12. Data, Privacy & Geolocation

• We collect and process data (incl. geolocation) to operate Shorelight Cash, prevent fraud, route orders, and compute payouts. See Privacy Policy.

13. Dispute Resolution & Arbitration (FAA)

• Individual arbitration; class/collective waiver; 30-day opt-out available.

14. E-Sign & Notices

• Consent to electronic records and signatures; keep contact info current.

15. Miscellaneous

• Governing law per Platform terms; severability; survival.
